In accordance with the Estonian Commercial Code, a company which is registered in Estonia is obliged to appoint a contact person if at least one half of its management board members are not residents of the Republic of Estonia.
The contact person is a representative of the company, and their details are specified in the registration documents of the company.
To register a contact person, either a digital signature of both parties, i.e. members of the management board and the contact person, or a notarised agreement is required.
Who can become a contact person for a company?
The contact person can be a notary or a notary’s office, a lawyer or a law firm, a sworn auditor, tax representatives of non-residents, or a person holding an appropriate license.
Obligations of a contact person of a company.
The contact person is responsible for liaising between public institutions and the management board of the company. After the contact person receives any official documents and notices, it is considered that these documents have also been received by the company’s management.
The contact person does not have any other rights or obligations, and cannot perform any other actions on behalf of the company.
