Company founding procedure
- Time of establishment: 5 work days from submitting a notarised application to the Commercial Register. The processing time of the notarised application depends on your efficiency in submitting the necessary information and documents.
- Limitations for founders and board of the company: must not be prohibited from engaging in enterprise and cannot have bankruptcy proceedings initiated against them.
- The company does not have to have paid employees. However, the structure must consist of the owner (legal or natural person) and a board member (natural person). A board member may also be the owner.
- The company’s business name must differ from companies already registered in Estonia by at least 3 letters.
- The minimal amount of share capital is 2,500 euros. Contributing into share capital upon the founding of a company is a compulsory procedure if the founder is a legal person. However, for our clients we recommend contributing into the share capital even if the founder(s) is (are) a natural person(s).
- Accounting: for taxable companies: monthly VAT returns and annual accounts. For non-taxable companies: submitting annual accounts.
